1. Acceptance of Terms

By accessing or using AR Badger's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services. These Terms apply to all users, including visitors, customers, and others who access or use our Services.

2. Description of Services

AR Badger provides an accounts receivable management platform that helps businesses manage invoices, send automated invoice reminders, and track account activity. Our Services include integration with accounting software (such as QuickBooks), automated email and SMS text message communications, and analytics dashboards.

3. Account Registration

3.1 Account Creation

To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. By using our Services, you represent and warrant that you meet these requirements.

3.3 Ineligible Businesses

B2C retail companies, adult content, gambling, payday lending, drugs, alcohol, tobacco, cryptocurrency, and weapons are not allowed.

4. Subscription and Payments

4.1 Subscription Plans

Access to our Services requires a paid subscription. Subscription plans, pricing, and features are described on our pricing page and may be updated from time to time.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your designated payment method for all applicable fees.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing period. No refunds will be provided for partial billing periods.

5. SMS Text Messaging Terms

AR Badger provides SMS text messaging services as part of our accounts receivable management platform. By opting in to receive SMS messages, you agree to the following terms:

5.1 SMS Program Description

Businesses use the AR Badger platform to send SMS text messages to their customers for the purpose of invoice reminders, account updates, and other account-related communications. Messages are sent by businesses to their own customers with whom they have an existing business relationship.

5.2 Consent

By providing your mobile phone number and agreeing to receive SMS communications, you expressly consent to receive account-related text messages from the business with which you have a relationship. Consent to receive SMS messages is not a condition of purchasing any goods or services.

5.3 Message Frequency

Message frequency varies based on your account activity. You may receive up to 15 messages per month. The actual number of messages will depend on your account status.

5.4 Message and Data Rates

Message and data rates may apply to any SMS messages sent or received. Contact your wireless carrier for details about your text messaging plan and any applicable charges.

5.5 Opt-Out

You can opt out of receiving SMS text messages at any time by replying STOP, UNSUBSCRIBE, END, CANCEL, or QUIT to any message you receive. After opting out, you will receive one final confirmation message and no further SMS messages will be sent. Opting out of SMS messages does not affect other communications from the business you have a relationship with.

5.7 Carrier Liability

Wireless carriers are not liable for delayed or undelivered messages. AR Badger is not responsible for messages that are not delivered due to carrier issues, device incompatibility, or other factors beyond our control.

5.8 Mobile Information Privacy

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Your mobile phone number and SMS opt-in/opt-out data will not be sold, rented, or shared with any third parties for their own use. 6. Acceptable Use

You agree not to:

• Use our Services for any unlawful purpose or in violation of any applicable laws
• Send spam, harassing, or threatening communications through our platform
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of our Services
• Reverse engineer, decompile, or disassemble any aspect of our Services
• Use our Services to collect or harvest personal information without consent
• Resell or redistribute our Services without authorization

7. Your Data and Content

7.1 Ownership

You retain all rights to the data and content you submit to our Services ("Your Content"). By using our Services, you grant us a limited license to use, process, and store Your Content solely for the purpose of providing our Services to you.

7.2 Responsibility

You are solely responsible for Your Content and ensuring you have all necessary rights and permissions to use and share it through our Services, including obtaining proper consent from your customers to receive SMS text messages.

8. Third-Party Integrations

Our Services integrate with third-party services such as QuickBooks, email providers, SMS delivery providers, and payment processors. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

9. Intellectual Property

All intellectual property rights in our Services, including software, designs, logos, and content, are owned by AR Badger or our licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or other brand features without our prior written consent.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AR BADGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless AR Badger and our officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of our Services, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such changes constitutes your acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in Grand Rapids, Michigan, except that either party may seek injunctive relief in court for violations of intellectual property rights.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and AR Badger regarding your use of our Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
